tZERO Group, Inc. entered into a definitive business combination agreement with special purpose acquisition company FG Imperii Acquisition Corp., the firms announced on November 2, 2026. As previously reported, tZERO planned to go public through a $350 million transaction to trade on the NYSE American under the ticker TZRO.

The transaction sets tZERO's pre-money equity valuation at $350 million, which incorporates up to $25 million contingent on specific milestones. The merger is supported by approximately $231 million of cash held in trust by FG Imperii. An affiliate of the SPAC also contributed capital to an existing financing round for tZERO and executed a term sheet for a forward purchase agreement with FG Merchant Partners LP.
