The SEC advanced crypto offering exemptions up to $75 million under Regulation Crypto Assets on October 2, 2026, as Commissioner Hester Peirce resigned.
On October 2, 2026, the U.S. Securities and Exchange Commission advanced regulatory details for its digital asset safe harbor proposals, adding tailored offering exemptions under Form NOR and Form 1-CRYPTO. As previously reported, the SEC proposed new crypto custody rules for investment advisers and funds.
The framework introduces a startup offering exemption of up to $5 million over a four-year period using Form NOR. Issuers can also raise up to $75 million per 12-month period under Form 1-CRYPTO, divided into a $20 million Tier 1 and a $75 million Tier 2. The proposal also includes a conditional safe harbor from the term investment contract and remains open for public comment.
