The SEC Division of Corporation Finance confirmed it will not recommend enforcement over Canton Coin's programmatic minting, viewing the token as a digital commodity.
The SEC's Division of Corporation Finance issued a formal no-action letter on November 3, 2026, regarding Canton Coin (CC), the native utility token developed by Digital Asset for the Canton Network. In the letter published by the SEC, the division took the view that Canton Coin is a digital commodity and confirmed it will not recommend enforcement action under Section 5 of the Securities Act or Section 12(g) of the Exchange Act regarding the asset's programmatic minting.
The staff based its stance on representations that Canton Coin derives its value from network operations and supply and demand dynamics, rather than from expectations of profit derived from managerial efforts. The division also noted that the Canton Network lacks a central party, allowing Super Validators, Validators, and application providers to mint the token without registration under the specified provisions.
The SEC noted that the no-action response reflects staff enforcement posture rather than a formal legal conclusion on the issues presented. Miles Jennings of Andreessen Horowitz described the response as a milestone for decentralized network tokens.
