Perpetuals files notice to offer tokenized US equities under SEC exemption

Perpetuals.com announced plans to launch tokenized U.S. stocks under the SEC's five-year Innovation Exemption, starting a 30-day notice and objection window for issuers.
Nasdaq-listed Perpetuals.com Ltd announced on October 14, 2026, plans to launch a tokenized U.S. equities platform under the Securities and Exchange Commission's five-year Innovation Exemption for Tokenized Securities Venues. The formal venue notice triggers a mandatory 30-day objection period for issuers of the underlying National Market System stocks before any trading can start.
According to crypto.news, the exemption permits trading through permissioned automated market makers deployed on public, permissionless blockchains. SEC rules require qualifying venues to maintain full investor parity, ensuring token holders receive equivalent dividend payments and voting rights to conventional shares. Venues must also halt token trading whenever the primary exchange halts the underlying stock, and purely synthetic price exposure products are prohibited.
Perpetuals stated that the rollout will offer fractional ownership, near-instant settlement, and continuous trading, expanding upon its existing European tokenization platform. The company noted that the launch remains subject to regulatory conditions, technical deployment, and the completion of the 30-day notice period.
